Terms & Conditions.

By creating an account, accessing, or using any part of the Peekpile Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy. These Terms constitute a legally binding agreement between you and Peekpile Technologies Limited (“Peekpile,” “we,” “us,” or “our”), a company registered in Nigeria.

We reserve the right to modify these Terms at any time. Any changes will be effective immediately upon posting the updated Terms on the Platform. Your continued use of the Platform after any such changes constitutes your acceptance of the new Terms. We encourage you to review these Terms periodically.

• “Client” means a User who posts jobs or gigs and hires Talent through the Platform.
• “Talent” means a User who offers professional services through the Platform.
• “User” means any individual or entity that accesses or uses the Platform, including both Clients and Talent.
• “Services” means the work or deliverables provided by Talent to Clients through the Platform.
• “Project” or “Job” means a project or task posted by a Client seeking to hire Talent.
• “Content” means any data, text, images, videos, portfolios, profiles, messages, or other materials uploaded, posted, or transmitted through the Platform.

To use the Peekpile Platform, you must:

• Be at least 18 years of age or have reached the age of majority in your jurisdiction.
• Have the legal capacity to enter into binding contracts.
• Not be prohibited from using the Platform under the laws of Nigeria or any other applicable jurisdiction.
• Provide accurate, current, and complete information during registration.
• Maintain the security and confidentiality of your account credentials.

If you are using the Platform on behalf of a business or organisation, you represent and warrant that you have the authority to bind that entity to these Terms.

4.1 · Account creation

To access certain features of the Platform, you must create an account. You agree to provide accurate and complete information during registration and to update such information to keep it current.

4.2 · Account security

You are responsible for maintaining the confidentiality of your account password and for all activities that occur under your account. You agree to immediately notify Peekpile of any unauthorised use of your account or any other breach of security.

4.3 · One account per user

Each User may maintain only one active account. Creating multiple accounts or using someone else’s account without permission is prohibited and may result in account suspension or termination.

4.4 · Account verification

Peekpile may require identity verification for Talent accounts. Failure to complete verification may limit your ability to use certain Platform features.

Peekpile is an online marketplace platform that connects Clients with verified African Talent for various professional services including, but not limited to, design, development, video editing, content creation, and other creative and technical services.

5.1 · Platform services

We provide:

• A platform for Clients to post jobs and discover Talent.
• AI-powered matching to connect Clients with suitable Talent.
• Communication tools including messaging and notifications.
• Payment processing and escrow services.
• Profile and portfolio hosting for Talent.
• Mobile applications for iOS and Android.
• Workspace and project management tools.

5.2 · Not an employer

Peekpile is a platform provider only. We are not an employer, employment agency, or party to any contract between Clients and Talent. We do not employ Talent, and Talent are independent contractors responsible for their own taxes, insurance, and compliance with applicable laws.

5.3 · No guarantee

While we strive to facilitate quality connections, we do not guarantee any specific outcomes, including job placements, project success, earnings, or work quality.

6.1 · Client responsibilities

• Provide clear, accurate job descriptions and requirements.
• Communicate professionally and respectfully with Talent.
• Review Talent profiles and portfolios before hiring.
• Pay for services as agreed and in accordance with these Terms.
• Provide timely feedback and approvals.
• Not request work that violates intellectual property rights or applicable laws.

6.2 · Talent responsibilities

• Maintain an accurate and up-to-date profile and portfolio.
• Only apply for jobs you are qualified and available to complete.
• Deliver work that meets the agreed-upon specifications and deadlines.
• Communicate professionally and promptly with Clients.
• Ensure all work submitted is original or properly licensed.
• Comply with all applicable laws, including tax obligations.
• Maintain professional liability insurance where appropriate.

7.1 · Service fees

Peekpile charges a service fee for facilitating transactions on the Platform. The current fee structure is:

• Talent service fee: A percentage of the total project value is deducted from Talent earnings.
• Client service fee: May apply to certain transactions or payment methods.

7.2 · Payment processing

All payments are processed through our integrated payment partners (including Paystack). You agree to comply with their terms of service. Peekpile is not responsible for payment processing errors or delays caused by third-party payment processors.

7.3 · Escrow and release

Client payments may be held in escrow until work is delivered and approved. Clients must review and approve or request revisions within a reasonable timeframe. Failure to respond may result in automatic payment release.

7.4 · Withdrawals

Talent may withdraw earnings subject to:

• Meeting minimum withdrawal thresholds.
• Completing identity verification.
• Providing valid bank account information.
• Payment processing times (typically 1 to 5 business days).

7.5 · Refunds and disputes

Refund requests must be submitted through the Platform’s dispute resolution process. Peekpile reserves the right to make final determinations on refund eligibility based on the circumstances of each case.

7.6 · Taxes

You are responsible for all taxes associated with your use of the Platform. Peekpile does not withhold taxes from payments unless required by law. Talent are independent contractors and must handle their own tax obligations.

7.7 · Currency

All transactions are conducted in Nigerian Naira (NGN) or other supported currencies as indicated on the Platform.

8.1 · Platform ownership

All intellectual property rights in the Peekpile Platform, including software, design, text, graphics, logos, and trademarks, are owned by or licensed to Peekpile. You may not copy, modify, distribute, or create derivative works without our express written permission.

8.2 · User content

You retain ownership of Content you upload to the Platform. By uploading Content, you grant Peekpile a worldwide, non-exclusive, royalty-free license to use, display, reproduce, and distribute your Content solely for the purpose of operating and promoting the Platform.

8.3 · Work product

Ownership of work product created through the Platform is determined by the agreement between Client and Talent. Unless otherwise agreed in writing, Clients generally receive ownership rights upon full payment. Talent must ensure they have the right to transfer ownership and that work does not infringe third-party rights.

8.4 · Portfolio use

Talent may display completed work in their portfolio unless the Client has requested confidentiality or the work contains sensitive information.

8.5 · Copyright infringement

We respect intellectual property rights. If you believe Content on the Platform infringes your copyright, please contact us at legal@peekpile.io with details of the alleged infringement.

You agree not to:

• Violate any applicable laws or regulations.
• Infringe intellectual property rights of others.
• Post false, misleading, or fraudulent information.
• Harass, threaten, or abuse other Users.
• Attempt to circumvent Platform fees by conducting transactions outside the Platform.
• Share account credentials or allow unauthorised account access.
• Use automated systems (bots, scrapers) to access the Platform.
• Reverse engineer, decompile, or attempt to extract source code.
• Upload malware, viruses, or harmful code.
• Spam, solicit, or advertise unrelated products or services.
• Manipulate ratings, reviews, or search rankings.
• Create fake accounts or impersonate others.
• Post content containing hate speech, violence, or adult material.
• Request or offer services that violate laws (for example, academic dishonesty or illegal activities).

Peekpile reserves the right, but is not obligated, to monitor, review, and remove any Content that violates these Terms or is otherwise objectionable. We may suspend or terminate accounts associated with prohibited Content.

You acknowledge that Peekpile has no obligation to pre-screen Content and that you use the Platform at your own risk. We are not responsible for User-generated Content or the accuracy of information provided by Users.

Peekpile may conduct identity verification and portfolio reviews for Talent. However, verification does not constitute an endorsement, guarantee of quality, or assumption of liability for Talent’s work or conduct.

Clients are responsible for conducting their own due diligence before hiring Talent. Peekpile makes no representations or warranties regarding the skills, reliability, or background of any User.

12.1 · Platform disputes

If a dispute arises between a Client and Talent regarding work quality, payment, or other project-related issues, Users should first attempt to resolve the matter directly through the Platform’s messaging system.

12.2 · Peekpile mediation

If Users cannot resolve a dispute, either party may request Peekpile’s assistance. We may review the dispute and make a determination, which may include refunding payments, releasing funds, or other actions. Our determination is final and binding.

12.3 · Legal disputes

Any legal disputes arising from these Terms or use of the Platform shall be governed by the laws of Nigeria and resolved in the courts of Lagos State, Nigeria.

12.4 · Limitation period

Any claim or dispute must be filed within one (1) year of the date the claim arose, or it will be permanently barred.

To the maximum extent permitted by law, Peekpile and its officers, directors, employees, agents, and affiliates shall not be liable for:

• Any indirect, incidental, special, consequential, or punitive damages.
• Loss of profits, revenue, data, or business opportunities.
• The conduct, content, or services of any User.
• Unauthorised access to or alteration of your transmissions or data.
• Interruptions, errors, or delays in Platform services.
• Viruses or harmful components obtained through the Platform.
• Quality, safety, legality, or suitability of services provided by Talent.
• Actions or omissions of payment processors or third-party service providers.

13.1 · Maximum liability

In no event shall Peekpile’s total liability to you for all claims arising from or related to the Platform exceed the greater of (a) the amount of fees you paid to Peekpile in the six (6) months preceding the claim, or (b) NGN 100,000 (One Hundred Thousand Naira).

13.2 · Platform “as is”

The Platform is provided on an “as is” and “as available” basis without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

You agree to indemnify, defend, and hold harmless Peekpile and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys’ fees) arising from:

• Your use of the Platform.
• Your violation of these Terms.
• Your violation of any rights of another party, including intellectual property rights.
• Your Content or conduct on the Platform.
• Services provided or received through the Platform.
• Any disputes between you and other Users.

15.1 · Termination by you

You may terminate your account at any time by contacting support@peekpile.io. You remain liable for any outstanding obligations.

15.2 · Termination by Peekpile

We may suspend or terminate your account immediately, with or without notice, if:

• You violate these Terms.
• Your account is involved in fraudulent or illegal activity.
• We are required to do so by law.
• We discontinue the Platform or specific features.
• Your account has been inactive for an extended period.

15.3 · Effect of termination

Upon termination, your right to access and use the Platform immediately ceases. Peekpile may retain certain information as required by law or for legitimate business purposes. You may forfeit any unpaid earnings if your account is terminated for Terms violations.

Your privacy is important to us. Our collection, use, and disclosure of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to our data practices as described in the Privacy Policy.

You are responsible for protecting the confidentiality of any personal information you share with other Users and for complying with applicable data protection laws when handling personal information.

By creating an account, you consent to receive electronic communications from Peekpile, including emails, SMS messages, push notifications, and in-app messages. These communications may include:

• Account notifications and updates.
• Transaction confirmations.
• Job alerts and opportunities.
• Marketing and promotional messages (you may opt out).
• Service announcements and policy updates.

You may manage your communication preferences in your account settings, but you cannot opt out of essential service-related communications.

The Platform may contain links to third-party websites or services that are not owned or controlled by Peekpile. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party websites or services.

You acknowledge and agree that Peekpile shall not be responsible or liable for any damage or loss caused by or in connection with the use of any third-party services.

When using our mobile applications, you also agree to the terms of service of the applicable app store (Apple App Store, Google Play Store). In the event of a conflict between these Terms and the app store terms, these Terms shall control regarding your use of the Platform.

You acknowledge that the app store provider is not responsible for the Platform and has no obligation to provide support or maintenance.

Peekpile reserves the right to modify, suspend, or discontinue any part of the Platform at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Platform.

21.1 · Entire agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Peekpile regarding the Platform and supersede all prior agreements.

21.2 · Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.

21.3 · Waiver

No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision.

21.4 · Assignment

You may not assign or transfer these Terms or your account without our prior written consent. Peekpile may assign or transfer these Terms without restriction.

21.5 · Force majeure

Peekpile shall not be liable for any failure to perform due to circumstances beyond our reasonable control, including acts of God, war, terrorism, riots, or technical failures.

21.6 · Survival

Provisions that by their nature should survive termination shall survive, including ownership, warranty disclaimers, indemnity, and limitation of liability.
